BANUK Terms of Use

1. Scope, definitions, and related documents

BANUK includes the website, portals, software, electronic services, subsystems, and assets associated with the BANUK brand. A User is any person with valid access, and a Partner is any natural or legal person in a collaboration relationship with BANUK.

2. Contractual basis for panel access

Partner or store access to the BANUK panel is enabled after an approved collaboration relationship is established and the applicable agreement is signed or otherwise validly accepted. Use of the panel is governed by that agreement, documents incorporated into it, applicable BANUK operating policies, and mandatory law. Links shown on the sign-in page provide continuing access and notice; they do not replace the contractual execution or acceptance process.

3. Authority and accurate information

You confirm that you have the legal or organizational authority required to use the account and perform its operations. Information supplied must be accurate, current, and legitimately connected to you or the organization you represent.

4. Account security

You are responsible for protecting passwords, mobile devices, one-time codes, active sessions, and authentication factors. Suspected compromise should be reported promptly. BANUK may require re-authentication or temporarily restrict access for account protection.

5. Permitted use

The platform may only be used within assigned permissions and for lawful purposes.

• Unauthorized access to another account or data is prohibited.
• Bypassing security controls, falsifying records, or intentionally disrupting service is prohibited.
• Unauthorized bulk extraction, reverse engineering, or automation that creates unreasonable load is prohibited.
• Use of the platform to infringe BANUK or third-party rights is prohibited.

6. Commercial and financial records

Inventory, deliveries, sales, commissions, settlements, returns, discounts, and other operational records are maintained from platform data and authorized actions. Users are responsible for timely and accurate entries and confirmations.

7. Brand and sales compliance

Partners must comply with the BANUK Collaboration & Brand Protection Rules. Unauthorized tag removal, rebranding, sale under another identity, pricing outside the authorized framework, counterfeit or copy goods, and unauthorized use of BANUK designs, images, or identity are prohibited to the extent permitted by applicable law.

8. Pricing and campaigns

Within the parties’ contract and mandatory law, Partners must follow BANUK-approved prices, discounts, campaigns, and sales conditions. Unauthorized discounts, bundles, coupons, gifts, or other mechanisms that alter the effective price or conditions are not permitted.

9. Separate agreements and priority

These Terms do not replace a specific commercial agreement. Where a valid agreement, addendum, or specific written policy governs a particular issue, that specific document controls the relevant matter to the extent permitted by law.

10. Intellectual property

BANUK names, marks, logos, designs, images, catalogs, product content, packaging, software, databases, and related assets belong to BANUK or their lawful owners. No implied license is granted beyond the authorized collaboration scope.

11. Compliance review and evidence

Subject to law and contract, BANUK may use platform records, invoices, product identifiers, images, customer reports, correspondence, test purchases, and other ordinary evidence to investigate compliance, protect quality, and enforce contractual or legal rights.

12. Protective restrictions

Where reasonable evidence of fraud, security risk, commercial misconduct, brand-right infringement, or contractual breach exists, BANUK may proportionately limit relevant account functions or access while the matter is reviewed, subject to law and contract.

13. Liability and recoverable loss

Each party remains responsible for loss attributable to its own acts or omissions under applicable law and contract. BANUK may seek compensation for provable loss, reasonable enforcement costs, and other available legal remedies where its rights are infringed.

14. Availability and force majeure

BANUK takes reasonable steps to maintain secure and reliable services but does not guarantee uninterrupted availability. Maintenance, security incidents, network failures, government restrictions, or events outside reasonable control may cause temporary disruption.

15. No waiver and severability

A delay in exercising a right does not waive that right. If any provision is unenforceable, it should be interpreted as narrowly as necessary and the remaining provisions continue in effect.

16. Official communication channels

Contractual, partner-store and legal correspondence is handled through info@banuk.ir; panel and user support through support@banuk.ir; and technical, infrastructure and security correspondence through admin@banuk.ir. Any communication that changes contractual or commercial obligations must follow the notice and authority requirements of the applicable agreement.

17. Changes, notices, and governing law

The current version and update date appear on this page. BANUK communicates material policy, collaboration, or brand-protection updates to the Partner’s registered official email address and, where appropriate, through the panel. Partners are responsible for keeping their contact details current and reviewing applicable notices within a reasonable time. Delivery to the registered official address is an electronic notice method to the extent permitted by the applicable agreement and law. Changes that require a separate agreement or addendum follow that contractual process. These Terms are governed by the laws of the Islamic Republic of Iran.
