BANUK Collaboration & Brand Protection Rules

Version: 1.0.0 · Last updated: 6 October 2026

These Rules protect product authenticity, BANUK brand identity, pricing integrity, intellectual property, and the customer experience. They apply to Partners, partner stores, organizational users, and persons who obtain access to BANUK goods, content, or assets through a collaboration relationship.

1. Brand identity and authenticity

BANUK goods must be offered with the identity, specifications, and origin approved by BANUK. Partners may not obscure or misrepresent product origin or affiliation by altering commercial presentation.

2. No tag or identifier removal

Without BANUK’s express written authorization, no tag, label, barcode, QR code, packaging element, authenticity identifier, mark, or BANUK sign may be removed, cut, covered, defaced, replaced, or altered.

3. No rebranding or sale under another identity

BANUK goods may not be represented or sold under the Partner’s own brand or another person’s brand, label, packaging, or commercial identity without express written authorization.

4. Pricing, discounts, and sales conditions

Within the parties’ contract and mandatory law, Partners must follow BANUK-approved prices and campaign rules. A different effective price, discount, coupon, bundle, gift, credit, or other sales incentive requires written authorization where it departs from the approved framework.

5. No counterfeit, copy, or imitation goods

No counterfeit, replica, imitation, reproduced, or unverified-origin goods may be marketed, stocked for sale, or sold as BANUK or in a manner likely to imply BANUK affiliation, even if similar goods are otherwise available on the open market.

6. No copying or commissioned reproduction

BANUK samples, designs, patterns, cuts, visual details, packaging, imagery, catalogs, and content may not be used without written permission to manufacture, commission, reproduce, or market copies or substantially imitative goods for the Partner or any third party.

7. No misleading use of BANUK assets

BANUK names, logos, images, videos, social content, and product descriptions may only be used within authorized collaboration. They may not be used to sell non-BANUK, copied, or third-party goods or to create a misleading impression of agency, manufacture, ownership, or endorsement.

8. Clear separation of non-BANUK goods

Where a Partner also sells other brands, presentation, labeling, merchandising, and sales information must clearly distinguish BANUK goods and avoid misleading association or confusion.

9. Responsibility for staff and representatives

Partners are responsible for reasonable internal controls and for compliance by employees, salespersons, agents, contractors, and others who obtain BANUK goods, information, or assets through them.

10. Review, inspection, and documentation

Subject to applicable law and contract, BANUK may rely on platform records, invoices, product identifiers, images, stock discrepancies, customer complaints, correspondence, test purchases, and other ordinary lawful methods to review compliance.

11. Corrective and protective measures

Where a breach is observed or reasonably suspected, BANUK may, proportionately and subject to law and contract, require correction, suspend the relevant offer or campaign, limit allocations or access, request relabeling or repricing, or temporarily suspend collaboration.

12. Losses, settlements, and legal rights

Where a breach causes provable loss to BANUK, customers, or third parties, liability is determined under applicable law and contract. Where contractually authorized, recoverable amounts may be reflected in settlements.

13. Immediate cessation and preservation

Where continued conduct risks customer deception, destruction of evidence, ongoing loss, or serious brand harm, BANUK may request immediate cessation of the disputed activity and preservation of relevant goods and records pending review.

14. Limited exceptions only in writing

Any exception must be express, specific, and written. Silence, prior practice, oral discussion, or delayed enforcement does not by itself create permission or waive a right.

15. Contract and mandatory law

These Rules operate together with the Partner agreement and other valid documents. They must not be interpreted contrary to mandatory law; specific contractual terms govern the relevant commercial matter where applicable.
